FAQ
Where can I find all current Oklahoma Secretary of State business forms?
Business-entity forms are posted on the Business Forms page. The page groups filings by entity type and shows both the online filing link and the direct document link for each listed form.
The current fee list is posted on the Business Fees page. Online new-entity filings begin through the Online Business Filing System, while amendments, annual certificates, and many change filings route through the existing-entity filing tools.
Is the registered agent consent form required to be filed with the Oklahoma Secretary of State?
Oklahoma does not publish a separate standalone registered-agent consent form for the business entities covered here. The registered agent is identified in the formation, qualification, change, or resignation filing itself.
The current form set documents the agent appointment inside the main filing rather than through a separate retained-only consent record. The filing must still name an eligible Oklahoma registered agent and use a physical registered-office address.
What form is used to change a registered agent in Oklahoma?
Domestic corporations use Change or Designation of Registered Agent and/or Registered Office (Oklahoma Corporation) (Form 0056), foreign corporations use Change or Designation of Registered Agent and/or Registered Office (Foreign Corporation) (Form 0058), domestic LLCs use Change or Designation of Registered Agent and/or Registered Office and/or Principal Office (Oklahoma LLC) (Form 0075), foreign LLCs use Form 0077, domestic LPs use Form 0052, foreign LPs use Form 0089, and LLP changes are made on the amended qualification statements. The corporation, LLC, and LP change forms carry a $25.00 filing fee, while the LLP amended statements carry a $50.00 filing fee.
Filings are accepted online through the Online Business Filing System and the Change Documents portal, by mail to Oklahoma Secretary of State, Business Filing Department, 421 N.W. 13th, Suite 210, Oklahoma City, OK 73103, and in person at Oklahoma Secretary of State, Business Filing Department, 421 N.W. 13th, Suite 210, Oklahoma City, OK 73103.
Business filing telephone numbers are (405) 521-3912, (405) 522-2520, and (405) 522-2822. The published email address is webmaster@sos.ok.gov.
What is the difference between the entity-filed change form and the agent-filed change form in Oklahoma?
The entity-filed forms change the appointment itself, the registered office, or both. That is why corporations use Forms 0056 or 0058, LLCs use Forms 0075 or 0077, LPs use Forms 0052 or 0089, and LLPs use amended qualification statements.
The agent-filed forms are narrower. Change of Name of Registered Agent and/or Address of Registered Agent Oklahoma Corporation (by agent) (Form 0022) changes the current corporation agent’s own name or address without replacing the agent, and Change of Registered Office and/or Principal Office (Oklahoma LLC) By Agent (Form 0076) lets the current LLC agent change the registered office and, if applicable, the principal office.
The current Oklahoma form set does not show a separate LP or LLP agent-filed own-name form. For large-volume agent updates, the Oklahoma site also provides a global online change path for multiple business-entity records.
Is there a fee to form a nonprofit corporation in Oklahoma?
Yes. Certificate of Incorporation (Oklahoma Not for Profit Corporation) (Form 0008) carries a $25.00 filing fee.
That is lower than the minimum $50.00 filing fee for a domestic for-profit corporation. The current fee list is shown on the Business Fees page, and the forms state that card payments add a 4% service charge for online or in-person payment.
What forms are used to register an out-of-state LLC in Oklahoma?
A foreign LLC files Application for Registration (Foreign Limited Liability Company) (Form 0083), and a foreign professional LLC files the professional foreign LLC registration form. Each carries a $300.00 filing fee.
Each registration filing includes the Oklahoma registered agent and registered-office information. The current Oklahoma sources do not publish a separate quantified late-registration penalty for a foreign LLC formation filing, but the LLC annual certificate form states that an LLC that misses the annual certificate for more than 60 days after the due date ceases to be in good standing.
What forms are used to form or register a partnership in Oklahoma?
A domestic LP files Certificate of Limited Partnership (Oklahoma Limited Partnership) (Form 0043), and a foreign LP files Certificate of Authority (Foreign Limited Partnership) (Form 0030). Each carries a $100.00 domestic or $300.00 foreign filing fee, and each form includes the Oklahoma registered-agent field.
Those same LP forms also accommodate LLLP elections on the filing itself, so the current form set does not require a separate state-issued LLLP registration document. The professional LP counterparts are Form 0038 for domestic filings and Form 0030P for foreign filings, with the same $100.00 and $300.00 base filing fees.
An LLP uses Statement of Qualification (Oklahoma Limited Liability Partnership) (Form 0090) for a domestic filing and Statement of Foreign Qualification (Foreign Limited Liability Partnership) (Form 0096) for a foreign filing. The initial filing fee is $100.00, and the same forms show $50.00 for amended or cancelled statements.
An LP filing creates or registers the limited partnership itself. An LLP filing registers limited-liability partnership status for the partnership named in the statement rather than creating a new LP.
The current Oklahoma business forms page does not list a statement of partnership authority form for general partnerships. The current partnership forms also do not state any dual-filing requirement for a foreign LLLP.
Can I file Oklahoma SOS forms online?
Yes. New-entity filings start through the Online Business Filing System, and many amendments, agent changes, dissolutions, and other follow-up filings are submitted through the Change Documents portal.
LLC and LP annual certificates may be filed electronically through the Annual Certificates path. The annual-certificate forms state that the system allows guest checkout unless an established account is used.
The current Oklahoma forms state that credit-card payments add a 4% service charge. The Business Filing Department also offers same-day walk-in service for $50.00 per document when the filing is presented before 4:30 p.m. CT.
